These Terms of Service (“Terms”) are an agreement between Ubuddy (“we”, “us”) and the school, institution or person using our website and platform (“you”). They apply to ubuddy.in, your school’s Ubuddy portal (for example yourschool.ubuddy.in), the admin portal at admin.ubuddy.in and our mobile apps (together, the “Service”).

By signing an order form with us, or by accessing the Service, you agree to these Terms. If you are using Ubuddy on behalf of a school, you confirm you have the authority to accept these Terms for that school. If your school has a separate written agreement with us, that agreement prevails wherever the two differ.

Ubuddy is a school management platform. Depending on the modules your school has subscribed to, it can cover admissions, student records, fees and receipts, attendance, exams and report cards, timetables, transport tracking, certificates and admit cards, communication with parents, and Ubuddy AI — our bilingual assistant.

Ubuddy is modular: your school subscribes only to the modules it picks, and can switch more on later. What you have subscribed to is recorded in your order form or subscription confirmation.

There are no public sign-ups on Ubuddy. Accounts are created and managed by your school’s administrators, who decide the role and permissions of every user — office staff, teachers, drivers, parents and students see only what their role allows.

• Keep your login credentials confidential. You are responsible for activity that happens under your account.
• Tell your school administrator (or us) promptly if you suspect your account has been compromised. Suspicious logins may be locked out automatically.
• Actions taken in the Service are recorded in an audit log so schools can see who did what, and when.

Your school’s data belongs to your school. Student records, fee ledgers, marks, documents and everything else your school or its users put into Ubuddy stays yours. We process it only to provide the Service, on your school’s instructions, as described in our Privacy Policy.

You can export your lists and records to Excel or PDF from within the Service at any time. When a subscription ends, we will give your school a reasonable window to export its data before it is deleted from our systems.

Your school is responsible for the accuracy and lawfulness of the data it uploads — including having the authority (and, where needed, parental consent) to manage students’ information on the platform.

Use Ubuddy only for running your school. You agree not to:

• break any applicable law, or upload content that is unlawful, harmful or infringes someone else’s rights;
• access another school’s portal or another user’s account without authorisation, or probe or test the Service’s security except with our written permission;
• copy, resell, scrape, reverse-engineer or build a competing product from the Service;
• overload or interfere with the Service, or introduce malware or automated bulk traffic;
• use contact details in the platform to send spam or messages unrelated to school business.

Subscription fees depend on the modules your school picks and are set out in your order form or invoice, along with billing frequency and payment terms. Prices are exclusive of applicable taxes (such as GST), which will be added where required.

If invoices remain unpaid well past their due date, we may — after reminding you — suspend access until the account is settled. We don’t delete data as a first response to a missed payment, and we will always talk to you before anything drastic happens.

Ubuddy AI answers questions and drafts content using your school’s data in the platform. Like any AI assistant, it can occasionally be wrong, incomplete or out of date. Treat its output as a helpful draft, not a certified record — verify important figures (fees, marks, dues) against the underlying module before acting on them or sending them to parents.

Ubuddy AI is not a source of legal, financial or medical advice.

We work hard to keep Ubuddy available around the clock, and your data is backed up continuously. That said, no online service can promise zero downtime: maintenance, upgrades and events outside our control can occasionally interrupt the Service. Where planned maintenance is likely to be disruptive, we’ll aim to schedule it outside school hours and let you know in advance.

The Service — its software, design, logos and content we created — belongs to Ubuddy and is protected by law. Your subscription gives your school a limited, non-exclusive, non-transferable right to use the Service for its own operations while the subscription lasts. It does not transfer any ownership of the platform to you (just as nothing in these Terms transfers ownership of your data to us).

If you send us feedback or suggestions, we may use them to improve Ubuddy without owing you anything — though we’ll be genuinely grateful.

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement, and we are not liable for indirect, incidental, special or consequential losses — including loss of profits or goodwill — arising from your use of the Service.

To the extent permitted by law, our total aggregate liability for claims arising out of or relating to the Service is limited to the subscription fees your school paid us in the twelve (12) months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

Your school can end its subscription as set out in its order form. We may suspend or terminate access if these Terms are materially breached (for example, misuse of the platform or long-unpaid invoices) — where practical, we’ll notify you and give you a chance to fix the issue first.

After termination, we’ll give your school a reasonable window to export its data (see section 4), after which it is deleted from our active systems. Sections that by their nature should survive — such as data ownership, liability limits and governing law — survive termination.

Ubuddy keeps improving — we may add, change or retire features over time. If we make a change that materially reduces core functionality your school subscribed to, we’ll tell you in advance.

We may also update these Terms from time to time. When we do, we’ll update the “Last updated” date above, and for significant changes we’ll notify schools through the platform or by email. Continuing to use the Service after a change takes effect means you accept the updated Terms.

These Terms are governed by the laws of India, and the courts of India have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, subject to any dispute-resolution process agreed in your school’s order form. Before going to court, we’d much rather you write to us — most issues get sorted out with a conversation.
